General Terms and Conditions

These general terms and conditions ("the Terms") apply to all business relationships between you and InfraVivo AB, registration number 559347-8950, Sallabacken 9, 241 94 Hurva ("InfraVivo", "we", "us"). Our VAT number is SE559347895001.

3. Application
These Terms apply to all quotes, orders and deliveries of products and services from InfraVivo, unless otherwise agreed in writing between the parties.
4. Offerter
Quotes from InfraVivo are valid for 30 days from the quote date, unless otherwise stated in the quote. We reserve the right to change prices and terms if an order is not placed within the quote validity period.
5. Order and agreement
A binding agreement is formed when we confirm your order in writing (via email or order confirmation). We reserve the right to decline orders in case of questionable orders or if the product is no longer available.
6. Priser
All prices are stated in Swedish kronor (SEK) excluding VAT, unless otherwise expressly stated. VAT is added according to applicable legislation. Shipping, installation and other additional costs are stated separately and are added at invoicing.
7. Betalning
Payment is made in advance, unless otherwise agreed in writing. Full payment must be made before the product is shipped or work begins. Delivery takes place only after full payment has been registered in our account.
For established business customers with approved credit check, payment terms of 30 days net from invoice date may be granted after written agreement.
In case of late payment, default interest according to the Interest Act and statutory reminder fee will be charged. In case of non-payment, the matter will be handed over to debt collection, whereby additional costs will be incurred.
8. Leverans
Delivery time is stated in the order confirmation and is calculated from when we have received full payment. Delivery time is always an estimate and not a binding date. We are not responsible for delays caused by circumstances beyond our control.
The risk for the product passes to the buyer upon delivery. In case of damage or loss during transport, complaints must be made directly to the carrier.
9. Custom-made products
Products manufactured or customized according to customer specifications cannot be returned or cancelled. Full advance payment is required before manufacturing begins.
10. Garanti och reklamation
We provide warranty according to the manufacturer's warranty terms. The warranty period varies depending on the product and is stated in product documentation or quote.
Complaints about defects or shortages must be made in writing within a reasonable time from when the defect was discovered or should have been discovered. Complaints should primarily be made to us at info@infravivo.se.
11. Limitation of liability
Our liability is limited to direct damage caused by demonstrable defects in our products or negligence on our part. We are not liable for:
- Indirect damage such as production loss, lost profits or other consequential damage
- Damage caused by incorrect installation, use or maintenance
- Damage resulting from normal wear and tear

Our total liability for damages is in all cases limited to an amount corresponding to the invoiced value of the product in question.
12. Force Majeure
We are released from penalties for failure to fulfill our obligations if this is caused by circumstances beyond our control that we could not reasonably foresee, such as war, natural disaster, pandemic, labor disputes, fire, government actions, supplier problems or similar circumstances (force majeure).
13. Intellectual property rights
All intellectual property rights relating to products, technical documentation, drawings, images and other information provided by InfraVivo remain our property. Such information may not be copied, distributed or otherwise used for purposes other than intended without our written consent.

15. Changes to the terms
We reserve the right to change these Terms at any time. Changes take effect when published on our website. For ongoing business relationships, the terms accepted at the time of entering into the agreement apply.
16. Assignment
The customer may not assign their rights or obligations under these Terms without our written consent.
17. Dispute resolution and applicable law
These Terms shall be interpreted and applied in accordance with Swedish substantive law, without regard to its conflict of law rules. International conventions, such as the UN Convention on Contracts for the International Sale of Goods (CISG), do not apply.
Disputes arising from these Terms shall primarily be resolved through negotiation between the parties. If the parties cannot agree, the dispute shall be decided by a Swedish general court with Lund District Court as the court of first instance.
